What are the right circumstances to consider a merger or acquisition (M&A) either as a buyer or a seller? How can we create shareholder value from an M&A and turn the operation into a success? How do we start and conduct the M&A process in a successful way from start to finish? This course offers a practical framework for handling M&A’s, hands practical tips and discusses the classic pitfalls. Beyond mere theory, this course is especially relevant to entrepreneurs and investors who are considering or are in the process of an M&A either as a buyer or as a seller.

AUDIENCE
The course is aimed at:
• entrepreneurs of privately owned enterprises, considering or conducting a merger or acquisition either as a buyer or as a seller, including entrepreneurs considering a transfer of their activities at their moment of retirement
• managers involved in the M&A process
• investors involved in M&A operations
• consultants
• economic diplomats who wish to understand the process of M&A in order to optimise their inducing skills

ADDED VALUE
Thanks to this course, buyers and sellers will be able to negotiate the “best possible deal” in a well-structured approach, with respect for the concerns of the parties involved, and while avoiding the classic pitfalls.
The course’s unique feature is its setup as a “practitioners’ guide” directly useable for buyers and sellers to fully master the M&A process. All the steps are explained in detail and illustrated with examples, from the early stage through the pre-negotiation and valuation stage to the tactics and techniques of negotiating the deal, with particular attention to the human factor.

CONTENTS
Part I: Private equity fundamentals; M&A readiness; vendor due diligence
• Merger versus acquisition; share and asset deal; LBO’s, MBO’s, auctions; M&A process steps; the financing cycle and sources of private equity; prepare the M&A from the point of view of a family-owned enterprise, the emotional factor; vendor due diligence and SWOT-analysis

Part II: Business plan; valuation; anonymous profile
• Business plan for buyer and seller; financial and cash flow plan; valuation versus price; valuation methods; optimizing the financial structure; special circumstances: growth companies, shareholders and executive management, loss-making companies; profile and NDA; VC’s and exit strategy

Part III: Matching vendors and buyers; negotiation strategy; conducting the negotiations
• Selection of vendors/buyers; budget; first information exchanges; current position and hypothesis; strategy; majority and minority participations; financing the deal, equity stake, preference shares, MBO’s; attention to fiscal implications and HR-aspects; negotiating under special circumstances: exclusivity, international M&A

Part IV: From letter of intent to agreement; post-M&A period
• LOI; NDA revisited; the offer letter (term sheet); due diligence; syndication; the completion: price setting, payment, conditions, seller warranties; financial data warranties; damages; audit; stopping the negotiation; the asset deal; evaluating and turning the M&A into success


FACULTY  
Edwin Desmyter is founder and CEO of Profidyn, consulting company on business growth. He managed international projects as strategic and financial adviser on mergers, acquisitions and alliances, marketing and business expansion for companies in chemical, steal, insurance, ICT, pharmaceutical and other industries; realised 20 spin-off start-ups (business plan, funding); active within BAN Vlaanderen investors’ network, expert panel member and coach for fast growing companies; realised 6 successful acquisitions, 3 major mergers and several joint ventures in international context; former European Director at Pioneer Europe and Terumo Europe; co-founder of CEBA, facilitating platform for Chinese investors at Free University of Brussels (VUB); board member and member of advisory boards of several companies; seminar speaker; co-founder and director of Profendo, venture on M&A and financing activities; MSc Economics (VUB), BSc Informatics (KUL).


LEARNING OBJECTIVES
By the end of the course, the participants should be able to:
• master the M&A process of privately owned enterprises either as a buyer or as a seller
• have a good insight in the complexity of coping with family-owned enterprises
• know the private equity investment landscape and know the roles of the professional advisers, governments and influencing factors
• know the pitfalls, know the success factors of a successful M&A

The working language of the course will be English.

COURSE MATERIAL

Before the start of the lecture a Powerpoint-syllabus will be handed over to the participants.

CERTIFICATION

Participants to the course will receive a certificate of attendance from the Brussels Diplomatic Academy of the Vrije Universiteit Brussel.
 
Examination is not compulsory. Participants to the course who opt for the examination will be offered a certificate from the Brussels Diplomatic Academy of the Vrije Universiteit Brussel, signed by the Rector.

Free parking facilities are available on the campus in front of the building. A bar code gives access to the campus via campus entries 6 or 13 (see the red arrows on the campus plan). The scanner for the bar code is situated under the intercom.
A few days before the start of the event, participants will receive a bar code giving access to the parking.

METHOD OF PAYMENT AND CANCELLATION
Fees:
The fee for this master class is 1.950 EUR.
VAT Settlement: exempted from VAT: Art 44 § 2, 4° of the VAT code.
The above prices include the registration fee and all material relating to the ‘Mergers & Acquisitions’ master class, as well as the coffee breaks for the duration of the event and the networking reception.
Hotel accommodation is not included in the registration fees.

Payment:
Attendees are requested to pay by bank transfer only, upon receipt of invoice.
Confirmation of registration and practical information will be sent only after receipt of payment.
Cancellations:
Cancellations can only be accepted if received in writing to bda@vub.ac.be two weeks prior to the start date of the event. Fees (less 25 euro administrative charges) will then be refunded. After this date, delegates will be liable for the full fee.
In case of cancellation, a substitution between members of the same company is still possible at any time.
